One of the reasons for no downgrade is the Valentino put (valued at ~€4b cash for remaining 70%). Company clarified in earnings that the put option price it is based on EBITDA multiple and as earnings are not doing well (reportedly fell -22% last year) it saw exercise forcing it to buy it, by Qatari investment fund Mayhoola, as unlikely. Hence, S&P is shifting back assumption of purchase to 2028 (the latest time to exercise the option). The €4b Kering estimated is also based on a recovered EBITDA (not current).
The other credit negative angle that was brewing was controlling Pinault family struggling to finance debt at the family vehicle on Kering dividend cuts - that was quashed in a Reuters article where they clarified; "in fact, other companies in the Group pay regular and significant dividends which cover most of our debt servicing needs".
Net it leaves earnings back in the driver seat. We will circle back on 1H numbers but the headline sale performance was weak while cost cutting was surprisingly effective. It also continues to show concern for balance sheet now - it is flagging another €1.7b in RE disposals - S&P has actually assumed this will come in full this year itself.
